Terms of Service
Senanova ONE

The agreement between you and Senanova Systems Ltd governing your use of the Senanova ONE platform and all connected services — written clearly, so you actually know what you're agreeing to.

Please read these Terms carefully before using Senanova ONE. By creating a Senanova ONE account, clicking "I Agree", or using any Senanova platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not create an account or use our services.

Section 01

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Senanova Systems Ltd ("Senanova", "we", "us", "our"), governing your access to and use of the Senanova ONE platform and all associated services, platforms, APIs, and content (collectively, the "Services").

You accept these Terms by:

  • Creating a Senanova ONE account;
  • Clicking "Accept", "I Agree", or any similar confirmation button;
  • Accessing or using any part of the Services; or
  • Continuing to use the Services after being notified of updated Terms.

These Terms are governed by the laws of the Republic of Ghana, including the Electronic Transactions Act, 2008 (Act 772), the Consumer Protection Act, 2023, and applicable provisions of the Contracts Act, 1960 (Act 25).

Additional Terms Certain Senanova platforms and features are subject to additional platform-specific terms that supplement these Terms. Where there is a conflict between these Terms and platform-specific terms, the platform-specific terms will prevail for that platform.

Section 02

About Senanova ONE

Senanova ONE is the unified ecosystem platform of Senanova Systems Ltd — a single account and identity layer that provides seamless access to all Senanova platforms and services. Through one Senanova ONE account, users can access:

Senanova Systems Ltd is an IT company incorporated under the laws of Ghana, with its principal place of business in Accra, Ghana. We are dedicated to building the essential IT foundation to fuel Africa's technological growth and global connectivity.

These Terms apply to your Senanova ONE account and, unless separate terms are in place, to your use of all platforms accessible through it. We may add new platforms and services to Senanova ONE over time; your continued use of the Services after such additions constitutes acceptance of these Terms in relation to the new platforms.

Section 03

Eligibility

To use Senanova ONE and the Services, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into binding contracts under applicable law;
  • Not be prohibited from using the Services under any applicable laws or regulations;
  • Not have had a Senanova account previously suspended or terminated for a violation of these Terms; and
  • If registering on behalf of a company or organisation — have the authority to bind that entity to these Terms.

By creating an account, you represent and warrant that you meet all of the above eligibility criteria. If you are registering as a business, references to "you" in these Terms include both you personally and the entity you represent, and you accept personal liability for ensuring the entity complies with these Terms.

Business Registration Requirements Merchants on Y2Klick and advertisers on YPosts may be required to provide business registration documents, tax identification numbers, and other verification materials. Operating as a business on our platforms without proper registration may result in account suspension.

Section 04

Account Registration & Security

4.1 Account Creation

To access most Services, you must create a Senanova ONE account by providing accurate, complete, and current information including your full legal name, email address, phone number, and date of birth. You agree to keep this information up to date.

4.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials (username, password, PIN, and MFA codes).
  • You must not share your account credentials with any third party.
  • You are responsible for all activity that occurs under your account, whether or not authorised by you.
  • You must notify us immediately at security@senanova.com if you suspect unauthorised access to your account.
  • We strongly recommend enabling Multi-Factor Authentication (MFA) on your account. MFA is mandatory for certain financial transactions on YFinancierr.

4.3 One Account Per Person

Each individual may maintain only one personal Senanova ONE account. Businesses may maintain separate business accounts. Creating duplicate or fictitious accounts is a violation of these Terms and may result in all associated accounts being suspended.

4.4 Identity Verification (KYC)

Certain features — particularly on YFinancierr and for Y2Klick merchants — require identity verification (Know Your Customer / KYC). You agree to provide accurate identification documents when requested and to cooperate with our verification process. Failure to complete KYC may result in restricted access to certain features.

KYC Verification KYC verification is conducted in compliance with the Anti-Money Laundering Act, 2020 (Act 1044) and Bank of Ghana regulations. Verified status on one Senanova platform carries across the ecosystem, so you won't need to verify your identity multiple times.

We reserve the right to modify, expand, or discontinue any Service or feature at any time, with reasonable notice where such change materially affects your use of the Services. We will give at least 14 days' notice of any discontinuation of a core Service.

Section 06

Y2Klick — E-Commerce Platform Terms

Y2Klick

6.1 Buyers

  • You may browse, purchase, and review products listed on Y2Klick through your Senanova ONE account.
  • By placing an order, you enter into a contract of sale directly with the relevant merchant. Senanova acts as a platform facilitator, not as a seller, except where Senanova is the listed merchant.
  • All purchases are subject to the merchant's terms, delivery policies, and return policies, which will be displayed at checkout.
  • Payment is processed securely through YFinancierr payment infrastructure. You authorise the debit of the stated amount from your selected payment method at the time of purchase.
  • Disputes with merchants regarding product quality, delivery, or refunds should first be raised with the merchant. If unresolved, you may escalate to Senanova's dispute resolution process.

6.2 Merchants

  • To sell on Y2Klick you must register as a merchant, complete KYC/business verification, and agree to the Merchant Agreement (a supplementary document).
  • You are responsible for the accuracy of all product listings, descriptions, pricing, and inventory levels. Misleading or fraudulent listings are strictly prohibited.
  • You must fulfil orders promptly and in accordance with your stated delivery terms. You are solely liable for the products you sell, including compliance with consumer protection laws.
  • Senanova reserves the right to remove listings, suspend merchant accounts, or withhold payments where there is evidence of fraud, policy violations, or excessive buyer complaints.
  • Merchant fees and commission structures are set out in the Merchant Fee Schedule, which forms part of your Merchant Agreement.
Prohibited Products The following are prohibited on Y2Klick: illegal goods or services; counterfeit products; weapons, ammunition, or explosives; controlled substances or pharmaceuticals without proper licensing; adult content; stolen goods; and any product whose sale is prohibited under Ghanaian law. Violations may result in immediate account termination and referral to law enforcement.

Section 07

YFinancierr — Fintech Platform Terms

YFinancierr

7.1 Financial Services

YFinancierr provides financial technology infrastructure including payment processing, asset tracking, and compliance tools. Any financial services offered through YFinancierr are subject to applicable Bank of Ghana regulations, the Payment Systems and Services Act, 2019 (Act 987), and the Anti-Money Laundering Act, 2020 (Act 1044).

7.2 Payments

  • All payment transactions are processed in accordance with PCI-DSS standards.
  • You authorise Senanova to initiate payment transactions on your behalf when you confirm a purchase or payment instruction.
  • You are responsible for ensuring sufficient funds or credit are available. Senanova is not liable for failed transactions due to insufficient funds.
  • Transactions are generally final once confirmed. Refunds are subject to the relevant merchant's refund policy or, for Senanova-initiated charges, our Refund Policy.
  • Senanova may place holds on transactions or accounts where fraud, money laundering, or regulatory concerns are identified. We will notify you where legally permitted.

7.3 KYC and AML Compliance

  • You must complete identity verification (KYC) before accessing payment and financial features on YFinancierr.
  • You represent that all funds used on the platform are from legitimate sources and that you are not using the Services to launder money, finance terrorism, or engage in any other financial crime.
  • Senanova is required by law to report suspicious transactions to the Financial Intelligence Centre (FIC) of Ghana. We may not be able to inform you when such a report has been made.

7.4 No Financial Advice

Nothing on YFinancierr constitutes financial, investment, tax, or legal advice. All financial decisions are your own responsibility. You should seek independent professional advice before making significant financial commitments.

Regulatory Notice YFinancierr operates under applicable Bank of Ghana and regulatory frameworks. If you believe a transaction has been processed in error or without authorisation, contact us immediately at support@senanova.com. Prompt reporting is essential for investigation and potential recovery.

Section 08

YPosts — Adtech Platform Terms

YPosts

8.1 Advertisers

  • To run campaigns on YPosts, you must have a verified Senanova ONE account and agree to the Advertiser Terms (supplementary document).
  • You are solely responsible for the content of your advertisements and for ensuring they comply with all applicable laws and regulations, including the Ghana Standards Authority advertising guidelines and the National Communications Authority regulations.
  • Advertisements must be truthful, non-deceptive, and not harmful. Senanova reserves the right to reject, pause, or remove any advertisement at its discretion.
  • You grant Senanova a non-exclusive licence to display, distribute, and optimise your ad creatives for the purposes of running your campaign.
  • You will be charged based on the agreed campaign pricing model (CPM, CPC, CPA, or other) set out in your Campaign Order. Charges are non-refundable except where Senanova fails to deliver the agreed impressions or clicks due to a platform error.

8.2 Prohibited Advertising Content

  • False or misleading claims about products or services;
  • Content that discriminates based on race, ethnicity, gender, religion, age, or disability;
  • Tobacco, alcohol, gambling, or adult content — unless specifically permitted and licensed;
  • Political advertising that seeks to influence voting behaviour without disclosure;
  • Malware, spyware, or any content designed to deceive users;
  • Content that infringes third-party intellectual property rights.

8.3 Data and Targeting

Audience targeting on YPosts uses aggregated, pseudonymised data in accordance with our Privacy Policy. Advertisers do not receive personally identifiable information about individual users. Use of targeting tools must comply with applicable data protection laws including the Data Protection Act, 2012 (Act 843).

Section 09

Fees, Payments & Billing

9.1 Free and Paid Services

Basic Senanova ONE account registration is free. Certain features and services — including merchant listings on Y2Klick, payment processing on YFinancierr, and advertising campaigns on YPosts — are subject to fees as set out in the applicable Fee Schedule or Campaign Order.

9.2 Payment of Fees

  • All fees are denominated in Ghana Cedis (GHS) unless otherwise stated.
  • By using a paid feature, you authorise Senanova to charge your nominated payment method for all applicable fees.
  • Fees are inclusive of applicable taxes unless stated otherwise. Where VAT or other taxes apply, they will be displayed clearly before you confirm payment.
  • Senanova reserves the right to change its fee structure on 30 days' notice. Continued use of paid services after the notice period constitutes acceptance of the new fees.

9.3 Refunds

Refund eligibility depends on the service:

9.4 Late Payment

Where payment of fees is overdue, Senanova reserves the right to suspend access to paid services until payment is received in full, and to charge interest on overdue amounts at the rate of 2% per month compounded.

Section 10

Acceptable Use Policy

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

10.1 Prohibited Conduct

  • Use the Services to commit any criminal offence, fraud, or money laundering;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Upload, transmit, or distribute any content that is defamatory, obscene, hateful, or that incites violence or discrimination;
  • Interfere with, disrupt, or attempt to gain unauthorised access to Senanova's systems, servers, or networks;
  • Use automated tools, bots, scrapers, or scripts to access or extract data from the Services without written authorisation;
  • Reverse engineer, decompile, or disassemble any part of the Services;
  • Attempt to circumvent any security, access control, or authentication mechanism;
  • Use the Services to send unsolicited communications (spam);
  • Engage in any form of market manipulation, price fixing, or anti-competitive conduct on Y2Klick or YFinancierr;
  • Create fake reviews, inflate transaction volumes, or engage in any other form of platform manipulation;
  • Use the Services in any manner that violates applicable law, including the Electronic Transactions Act, 2008 (Act 772), the Cybersecurity Act, 2020 (Act 1038), and the Data Protection Act, 2012 (Act 843).
Cybercrime Warning Unauthorised access to computer systems, data theft, and electronic fraud are criminal offences under the Cybersecurity Act, 2020 (Act 1038) and the Electronic Transactions Act, 2008 (Act 772) of Ghana. Senanova will report any suspected cybercrime to the Cybersecurity Authority of Ghana (CSA) and the Ghana Police Service.

10.2 Content Standards

Any content you upload, post, or transmit through the Services must not:

  • Infringe any third party's intellectual property, privacy, or other rights;
  • Contain viruses, malware, or other malicious code;
  • Be false, misleading, or fraudulent;
  • Violate any applicable advertising, consumer protection, or financial services regulations.

Section 11

Intellectual Property

11.1 Senanova's IP

All intellectual property rights in the Senanova ONE platform, Y2Klick, YFinancierr, YPosts, and all associated content, software, technology, trademarks, logos, and designs are owned by or licensed to Senanova Systems Ltd. Nothing in these Terms transfers any ownership of Senanova's intellectual property to you.

Subject to your compliance with these Terms, Senanova grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose.

11.2 Restrictions

You may not:

  • Copy, reproduce, modify, or create derivative works of any part of the Services;
  • Use Senanova's trademarks, logos, or branding without prior written authorisation;
  • Distribute, sublicense, rent, or sell access to the Services; or
  • Remove any copyright, trademark, or other proprietary notices from the Services.

11.3 Feedback

If you submit ideas, suggestions, or feedback about the Services, you grant Senanova a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.

Section 12

User Content

"User Content" means any content — including product listings, ad creatives, reviews, messages, images, and descriptions — that you upload, post, or transmit through the Services.

  • You retain ownership of your User Content, subject to the licence you grant Senanova below.
  • By submitting User Content, you grant Senanova a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and distribute your User Content solely for the purpose of operating and improving the Services.
  • You represent that you have the right to submit your User Content and that it does not violate any third party's rights or any applicable laws.
  • You are solely responsible for your User Content. Senanova does not endorse User Content and is not liable for any User Content submitted by you or other users.
  • Senanova reserves the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or otherwise objectionable.
Merchant Product Content Product listings on Y2Klick constitute User Content. Merchants are solely responsible for the accuracy, legality, and completeness of their listings. Inaccurate or misleading listings may result in account suspension and liability to affected buyers.

Section 13

Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your personal data as described in the Privacy Policy.

Key points:

  • Senanova Systems Ltd is the Data Controller for all personal data processed through Senanova ONE and associated platforms.
  • Your data is processed in accordance with the Data Protection Act, 2012 (Act 843) of Ghana.
  • We do not sell your personal data to third parties for their own marketing purposes.
  • Your Senanova ONE account data is shared across connected platforms (Y2Klick, YFinancierr, YPosts) to provide you with a unified experience — see the Privacy Policy for full details.
  • You have rights including access, correction, deletion, and portability of your personal data — exercisable via privacy@senanova.com.

Section 14

Disclaimers & Warranties

14.1 As-Is Service

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by applicable law. Senanova does not warrant that:

  • The Services will be uninterrupted, error-free, or entirely secure;
  • Any defects will be corrected;
  • The Services or any content are free from viruses or other harmful components; or
  • Results obtained from use of the Services will be accurate or reliable.

14.2 Third-Party Content and Services

The Services may contain links to third-party websites or integrate third-party services. Senanova is not responsible for the content, accuracy, or practices of third-party sites or services. Links do not constitute endorsement by Senanova.

14.3 Merchant and User Content

Senanova is a platform facilitator. We do not verify, endorse, or guarantee the accuracy of product listings, merchant claims, user reviews, or any other User Content. Transactions are between buyers and merchants directly, and Senanova is not a party to those contracts except where acting as the named merchant.

Statutory Rights Preserved Nothing in this section limits or excludes any rights you may have under the Consumer Protection Act, 2023, the Sale of Goods Act, 1962 (Act 137), or other applicable Ghanaian consumer protection legislation that cannot be excluded by contract.

Section 15

Limitation of Liability

To the maximum extent permitted by applicable law, Senanova Systems Ltd, its directors, employees, agents, and service providers shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, goodwill, or business opportunities;
  • Losses arising from your reliance on the Services or any content on the Services;
  • Losses resulting from unauthorised access to your account that occurs despite reasonable security measures;
  • Any failure or delay in performing our obligations caused by events beyond our reasonable control (force majeure), including natural disasters, government actions, power failures, internet outages, or civil unrest.

Where Senanova's liability cannot be fully excluded, our total aggregate liability to you for all claims arising out of or relating to the Services in any 12-month period shall not exceed the greater of:

  • GHS 500; or
  • The total fees paid by you to Senanova in the three (3) months immediately preceding the event giving rise to the claim.
Ghana Consumer Law This limitation of liability does not affect any mandatory statutory rights you have under Ghanaian consumer protection legislation, including rights in respect of defective products, fraudulent misrepresentation, or death and personal injury caused by Senanova's negligence.

Section 16

Indemnification

You agree to defend, indemnify, and hold harmless Senanova Systems Ltd and its directors, officers, employees, agents, and service providers from and against any claims, liabilities, damages, losses, penalties, fines, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your User Content or any content you submit, post, or transmit through the Services;
  • Your use of the Services in a manner not authorised by these Terms;
  • Any transaction you conduct through Y2Klick (as a merchant or buyer) or YFinancierr;
  • Any advertising campaign you run on YPosts; or
  • Your infringement of any third party's intellectual property, privacy, or other rights.

Senanova reserves the right to assume exclusive control of any matter subject to indemnification at your expense. You agree to cooperate with Senanova's defence of such claims.

Section 17

Suspension & Termination

17.1 Termination by You

You may close your Senanova ONE account at any time by following the account closure process in your Account Settings or by contacting support@senanova.com. Account closure does not cancel any outstanding obligations, including payment of fees owed.

17.2 Suspension or Termination by Senanova

We may suspend or terminate your account or access to any Service immediately and without notice if:

  • You materially breach these Terms and fail to remedy the breach within 7 days of written notice;
  • We reasonably suspect fraud, money laundering, or other illegal activity on your account;
  • You provide false or misleading registration or KYC information;
  • We are required to do so by law, court order, or regulatory directive; or
  • Your account poses a security risk to the platform or other users.

Where the breach is not capable of remedy (e.g. fraud, serious misconduct), we may terminate immediately without prior notice.

17.3 Effect of Termination

  • Upon termination, your right to access the Services ceases immediately.
  • Outstanding payment obligations survive termination.
  • Merchants must fulfil all pending orders at the time of account closure.
  • Your User Content may be deleted from our systems in accordance with our data retention policy, subject to legal hold requirements.
  • Sections 11 (IP), 15 (Liability), 16 (Indemnification), 18 (Disputes), and any other provisions that by their nature should survive, will continue in force after termination.
Appeal Process If your account is suspended or terminated and you believe this was in error, you may appeal by contacting support@senanova.com within 30 days of the suspension/termination notice. We will review your appeal and respond within 15 business days.

Section 18

Dispute Resolution

18.1 Informal Resolution

Before initiating any formal proceedings, you agree to contact Senanova at legal@senanova.com and attempt to resolve any dispute informally. We will make reasonable efforts to resolve disputes within 30 days of receiving written notice.

18.2 Buyer-Merchant Disputes

Disputes between buyers and merchants on Y2Klick should first be raised with the merchant directly. If unresolved within 7 days, you may submit a dispute to Senanova's platform dispute resolution process. Senanova's decision in platform disputes is final and binding unless challenged through formal legal proceedings.

18.3 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. You and Senanova submit to the non-exclusive jurisdiction of the courts of Ghana for the resolution of any dispute.

18.4 Arbitration

Where a dispute cannot be resolved informally, either Party may refer the dispute to arbitration under the rules of the Ghana Arbitration Centre, with the seat of arbitration in Accra, Ghana. The language of arbitration shall be English. The arbitrator's award shall be final and binding.

18.5 Consumer Rights

Nothing in this Section prevents you from bringing a complaint before the Commission on Human Rights and Administrative Justice (CHRAJ), the Consumer Protection Agency of Ghana, or any other competent regulatory body in Ghana in respect of consumer rights matters.

Section 19

Changes to These Terms

Senanova may update these Terms from time to time to reflect changes in our Services, applicable law, or business practices. When we make changes:

  • We will post the updated Terms on this page with a new effective date;
  • For material changes, we will notify you by in-app notification and/or email at least 14 days before the changes take effect;
  • For non-material changes (such as clarifications, corrections, or minor updates), the updated Terms will be effective upon posting;
  • Where changes require your affirmative consent (e.g. new processing of sensitive data), we will seek your explicit agreement before the changes apply.

Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and close your account before the effective date.

Section 20

General Provisions & Contact

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable platform-specific terms or merchant/advertiser agreements, constitute the entire agreement between you and Senanova in respect of the Services and supersede all prior understandings and representations.

20.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

20.3 Waiver

Failure by Senanova to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without Senanova's prior written consent. Senanova may assign these Terms and its rights hereunder to any affiliate or successor entity without restriction.

20.5 Force Majeure

Senanova is not liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, government actions, civil unrest, power failures, internet or telecommunications outages, or pandemic conditions.

20.6 Language

These Terms are written in English. In the event of any conflict between a translation and the English version, the English version shall prevail.
